| GEO Announces Acquisition of Polymer Research Corporation (PRC) |
Effective today GEO has completed the acquisition of PRC, a manufacturer of specialty polymers used primarily as coagulants and flocculents in treating waste, drinking and industrial water. PRC will join GEO’s Water Treatment division and will represent a significant extension of GEO’s UltraFloc product category and allow access to new markets and distribution channels.
PRC, started in 1993, has twenty employees and operates a facility in Centreville, Miss., that produces organic polymers, including polydadmac and epiamine products. The acquisition will broaden GEO’s product offering providing GEO’s customers with chemicals that can treat larger quantities of water with lower dosages for a wider spectrum of difficult applications.
Organic polymer usage is one of the fastest growing segments in water treatment. The PRC acquisition will drive GEO’s revenues in this sector of the market.
This is the second acquisition GEO has completed this year.

| Acquisition Effective September 1st, 2011 |
Effective September 1st 2011, we are excited and pleased to announce we have closed on our acquisition of the Hydroxy Monomer business from BASF/Cognis. This acquisition has a strong strategic fit with GEO's existing Paints and Coatings business. It will significantly expand our product portfolio for our customers, and enhances our presence in water born chemistry. In addition there is the potential expansion of GEO's product offering in the lubricants market. This acquisition includes a superb facility in Hythe England which will broaden our manufacturing and research and development capability. This additional manufacturing expertise can potentially produce products to support other GEO business units and leverage our ability to support our European customer base. The R&D facility and pilot plant will enable us to develop new products for all our businesses and reduce the cycle time of getting those products to market in support of our customer base.
We would like to welcome all the Hythe employees to GEO Specialty Chemicals. We feel this is an exciting time for the company and look forward to all the contributions you will bring to GEO.

GEO Specialty Chemicals, Inc. announces a price increase on all grades of Hyonic® foaming agents. The price increase is necessitated by increased raw material costs that cannot be absorbed. With this in mind, prices for all grades of GEO’s Hyonic® foaming agents, must increase.
Effective, August 15, 2011, the following price increase will take effect:
-All grades of Hyonic® foaming agents will increase $0.04/lb.
*As contracts permit, all other terms and conditions remain the same.

Juni 2011 – GEO Specialty Chemicals Inc. und BASF haben eine Vereinbarung getroffen über den Verkauf des Bisomer-Monomer-Geschäfts (Hydroxymethacrylate, multifunktionelle Methacrylate und Addukte) sowie des konventionellen Kontaktlinsengeschäfts von Cognis UK. Die Transaktion umfasst Produktionsanlagen in Hythe, Großbritannien, zur Herstellung von Hydroxymethacrylaten, multifunktionellen Methacrylaten und Addukten sowie von Polyalkylenglykolen (PAG) und auf PAG-basierenden Schmierstoffen. Voraussichtlich werden 140 Beschäftigte zum neuen Eigentümer GEO Specialty Chemicals UK Limited übertreten.
BASF und GEO haben vereinbart, keine finanziellen Details der Transaktion bekannt zu geben. Der Verkauf steht unter dem Vorbehalt der Zustimmung der EU-Kommission. Das Closing wird im dritten Quartal des Jahres 2011 erwartet.

BASF wird die in Hythe hergestellten Polyalkyleneglykole und auf PAG-basierenden Schmierstoffe über einen langfristigen Liefervertrag von GEO beziehen.
Hydroxymonomere sind Zwischenprodukte, die überwiegend in hochwertigen Autolacken und Hochglanz-Produktlacken sowie für die industrielle Endfertigung verwendet werden.

GEO Specialty Chemicals to Acquire UK Based Bisomer Monomer Business from BASF
Lafayette, Indiana and Ludwigshafen, Germany – June 3, 2011 – GEO Specialty Chemicals, Inc. has entered into an agreement with BASF to acquire the Bisomer monomer business (hydroxy methacrylates, multifunctional methacrylates (MFM) and specialty adducts) and conventional contact lens business of Cognis UK. The transaction includes a manufacturing facility in Hythe, England that produces hydroxy methacrylates, multifunctional methacrylates (MFM) and specialty adducts, polyalkylene glycols (PAG) and PAG-based lubricants. As a part of the transaction, approximately 140 employees are expected to transfer to the new owner, GEO Specialty Chemicals UK Limited.
BASF and GEO have agreed not to announce the terms of the transaction. The divestiture is subject to approval by the EU Commission. Closing of the transaction is expected in the third quarter of 2011.
“This acquisition represents an important strategic addition to GEO's Paints & Coatings business group and it significantly expands our global manufacturing and R&D capabilities,” said Kenneth A. Ghazey, Chief Executive Officer of GEO.
BASF committed to the European Commission to divest the Hydroxy Monomer business assets following its December 2010 acquisition of Cognis. In connection with the transaction, BASF has agreed to purchase from GEO PAG and PAG-based lubricants manufactured at the Hythe site under a long term supply agreement.
Hydroxy monomers are intermediates that are primarily used in high performance automotive paints and high-gloss product lacquers, and in industrial finish applications.

| Calcium Stearate Price increase May 1, 2011 |

Dear Customer,
GEO Specialty Chemicals will increase the price on all calcium stearate products effective May 1, 2011, at all accounts, as contracts allow. The price increase is necessitated by increased costs that cannot be absorbed. The price of the key raw material, BFT, is at all time highs.
BFT is also used in the biodiesel industry, creating significant demand pressure. All fats and oils are trading at unprecedented levels. BFT price is forecasted to continue to rise throughout 2011. BFT is currently trading at more than twice the average price of 2009.
Effective May 1, 2011, the following price increase will take effect:
-All grades of calcium stearate dispersions will increase $0.06/lb.
All orders shipped after that date will incur the new prices. All other terms and conditions of sale will remain the same.
